General Terms and Conditions of Sealed Bid Auction
WRITTEN INITIAL OFFER FORMAT: Initial Offer is to be submitted with name, address, phone number, and bid amount signed by bidder. The Initial Offer must be delivered to Total Auctions and Real Estate (TAARE) 5002 South Broadband Ln Ste # 100, Sioux Falls, SD 57108 or via fax to 844-605-7653 on or before 5PM CST December 31, 2019.
TERMS: This is a Single Phase Sealed Bid Sale and TAARE will notify bidders of their status once all bids have been reviewed. This sale is subject to First Right of Refusal by Rosenfeld Hutterian Brethren. In the event the bid is accepted, the successful bidder shall be prepared to pay a non-refundable earnest money deposit equal to 10% of the total bid. This 10% will become non-refundable earnest money in the purchase agreement with the balance due at closing. Any bidder which submits a sealed bid understands and agrees that the integrity of the sale requires that the Bidder's Sealed Bid be an irrevocable offer to purchase the subject property throughout the term of the sale for the amount of the sealed bid, subject to the First Right of Refusal by Rosenfeld Hutterian Brethren, Seller reserves the right to accept or reject any bid or withdraw the property from sale. In the event of a tie bid, the bidders will be asked to submit a final tie breaker bid.
This is a cash sale. Closing and possession will be on or before January 31, 2020, subject to the First Right of Refusal by Rosenfeld Hutterian Brethren. Merchantable title will be conveyed and title insurance cost will be divided 50-50 between the buyer and seller. Closing costs are to be split 50-50 buyer and seller. The 2018 RE taxes due and payable in 2019, will be paid by the seller. The 2019 RE taxes due and payable in 2020 are also going to be the seller’s responsibility. The seller does not warranty or guarantee that existing fences lie on the true boundary, and any new fencing will be the responsibility of the purchaser pursuant to SD statutes. A survey will not be provided and will be the purchaser’s responsibility if needed or requested. Seller will retain any and all gravel mining rights of tract 3.
